YPREF How to Law

This summer, members of the CREFC Europe YPREF core committee are presenting a series of small group “How to” sessions dedicated to YPREF professionals. This is the second sessions in a series of three. The “How to Law” session will be held on morning of Tuesday 20 August. A session on “How to Lend” will follow.
This ‘How to Law’ seminar is tailored to young professionals working in finance functions or departments at CREFC Europe member firms who interact with lawyers and review finance and due diligence documentation as a part of the transaction process; it is not for legal professionals.
The event will provide an overview of key features of a loan agreement together with an overview of key ancillary finance and security documents, legal reporting and structuring, including:
- Loan Agreement analysis, including focus on:
- Financial Covenants;
- Undertakings, Representations and Warranties;
- Events of Default; and
- Conditions Precedent;
- Subordination and Intercreditor arrangements;
- Security Documents;
- Certificates of Title;
- Common structures; and
- Tax considerations.
The presenters will also discuss the process involved in preparing legal documentation and the role of various lawyers within different teams the process.
The group will discuss the importance of certain covenants, and common areas where lenders might expect borrowers top ask for concessions during negotiations and how these might be approached.

To encourage an interactive session, only 20 professionals may register for each event. Registration is available on a first come, first served basis, at a cost of £25 + VAT charged by CREFC Europe (credit/debit card only). The registration fee is non-refundable, but a confirmed registration may be transferred to a colleague until noon on Monday 19 August.
