Hot Topics – 5 Negotiating Points for Borrowers on Facility Agreements

 YPREF will hold its first event of the year on 28 March focusing on “Hot Topics – 5 Negotiating Points for Borrowers on Facility Agreements” hosted by Ashurst LLP, London. Since YPREF launched in April 2016 we have welcomed over 300 young professionals to a series of educational and networking events promoting career development amongst peers.

The breakfast seminar will focus on the key negotiation points frequently contested between Lenders and Borrowers during documentation of Loan Agreements, the session will comprise a short presentation followed by a panel led Q&A with speakers from both a lending, legal and borrower background. Panelists will discuss the commercial positions that are adopted by their respective houses and outline the main reasons why these are so hotly contested during documentation:

  • Permitted payments and cash waterfalls (including cash trap concept)
  • Permitted lettings
  • Change of control
  • Fixed rate lending
  • Transferability
